By accessing or using iON Nucleus (“the Service”), operated by iON MSP, LLC (“we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.
iON Nucleus is a multi-tenant client portal platform designed for Managed Service Providers (MSPs) and their clients. The platform provides ticketing, documentation management, credentials storage, task management, reporting, and other operational tools delivered through a branded portal experience.
Access to iON Nucleus is provisioned by MSP administrators. Users must be created and authorized by their MSP or client administrator before they can access the platform. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree to notify your MSP administrator immediately of any unauthorized use of your account or any other breach of security.
You agree to use iON Nucleus only for lawful purposes and in accordance with these Terms. You agree not to: use the Service in any way that violates any applicable law or regulation; attempt to gain unauthorized access to any part of the Service or any other systems or networks connected to the Service; upload or transmit viruses, malware, or any other malicious code; interfere with or disrupt the integrity or performance of the Service; or attempt to access data belonging to other tenants.
MSPs and their clients retain ownership of all data they create, upload, or store within iON Nucleus. We do not claim ownership of your content. We process your data solely to provide and improve the Service as described in our Privacy Policy.
We strive to maintain high availability of the Service, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned maintenance.
The Service, including its design, features, code, documentation, and branding, is owned by iON MSP, LLC and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.
To the maximum extent permitted by applicable law, iON MSP, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of the Service.
The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We may terminate or suspend your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease. MSPs may request export of their data upon termination.
These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts located in El Paso County, Colorado.
We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page and updating the “Last updated” date. Continued use of the Service after changes constitutes acceptance of the new Terms.
